Terms of Service

These terms

Leascape is lease accounting software operated by [LEGAL ENTITY NAME], registered office [REGISTERED ADDRESS], CIN [CIN], GSTIN [GSTIN] (“Leascape”, “we”, “us”). In these pages “you” or “customer” means the organisation that subscribes to Leascape.

By subscribing to or using Leascape you agree to these terms. If you have signed a separate agreement or order form with us, that document prevails wherever it differs from this page.

The service

Leascape is software we host and provide over the internet for lease accounting under Ind AS 116 and IFRS 16. Your subscription gives your organisation a non-exclusive, non-transferable right to use it for your own business during the subscription term, for the number of users and entities your plan covers.

Your account

• Give us accurate account and billing details and keep them current.
• Keep login credentials confidential; you are responsible for what your users do with them.
• Assign user roles carefully — roles control who can approve leases and post journal entries.
• Tell us promptly at hello@leascape.com if you suspect unauthorised access.

Your data and your inputs

You own the data you put into Leascape and you keep all rights in it. You are responsible for the accuracy and completeness of what you enter — lease terms, payments, discount rates, classifications, account mappings and similar judgements — and for having the right to provide any personal data contained in it.

Not accounting, audit, tax or legal advice

Leascape performs calculations from the inputs and settings you provide, and produces schedules, journal entries and reports based on them. It does not exercise professional judgement and does not give accounting, audit, tax or legal advice.

Your management remains responsible for your financial statements and disclosures, and your auditors for their opinion. Review Leascape's output before you post it, file it or rely on it. We are not responsible for accounting positions you take, for penalties, or for restatements.

Acceptable use

You agree not to:

• copy, modify, reverse engineer or attempt to derive the source code of the service, except to the extent the law expressly permits;
• resell, sublicense or run the service as a bureau for third parties without our written consent;
• upload unlawful content or anything intended to damage the service or other customers;
• attempt to bypass security or access another customer's data;
• run penetration tests, load tests or vulnerability scans without telling us in advance and agreeing the scope.

Availability, maintenance and support

We work to keep the service available and take routine backups. We may carry out maintenance, and we give advance notice where we reasonably can. Availability targets and remedies apply only if a service level agreement is signed with us; otherwise the service is provided without an uptime commitment. Fees and taxes

Fees, billing periods, renewal and refunds are set out on the Subscription, Billing & Refunds page and in your order form. Fees are exclusive of GST and other taxes, which we add where applicable.

Intellectual property

The service, its software, design, documentation and the Leascape name and logo are ours and remain ours. Nothing here transfers them to you. If you send us feedback or suggestions, we may use them to improve the service without obligation to you.

Confidentiality

Each of us may receive confidential information from the other. Both of us agree to use it only to perform under these terms, to protect it with reasonable care, and not to disclose it except to people who need it and are bound by similar duties, or where the law requires disclosure.

Warranties and disclaimer

We warrant that we will provide the service with reasonable skill and care. To the extent the law permits, everything else is excluded: the service is provided “as is”, and we do not warrant that it will be uninterrupted or error free, or that its output will meet every requirement of your auditors or regulators.

Limitation of liability

Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability arising out of or in connection with the service in any 12-month period is limited to the fees you paid us for the service in the 12 months before the claim arose. Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

Suspension and termination

• You may cancel as described on the Subscription page.
• We may suspend access for non-payment, for a security risk, or for a material breach that is not fixed within 15 days of our written notice.
• Either of us may terminate for a material breach the other does not fix within 30 days of notice.
• On termination your right to use the service ends. You may export your data during the grace period described on the Account & Data Deletion page.

Changes

We improve the service continuously and may change features. We will not materially reduce the core functionality of a plan during a term you have paid for. If we change these terms materially, we give subscribers at least 30 days' notice by email; continuing to use the service after that means you accept the new terms.

Events outside our control

Neither of us is liable for failure or delay caused by events beyond reasonable control, including internet or power failures, acts of government, natural events or industrial action.

Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of them.
